End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and LNRDR LLP ("Company" or "we" or "us") for the use of MotoCAN ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement.

  1. Grant of License

    • Subject to the terms of this Agreement, Company hereby grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on a single device for personal or internal business purposes.

  2. Restrictions on Use

    • You shall not:
      • Modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software.
      • Rent, lease, distribute, sell, sublicense, or otherwise transfer the Software to any third party.
      • Use the Software for any illegal purpose or in violation of any local, state, national, or international law.
      • Remove any proprietary notices, labels, or marks on the Software.

  3. Intellectual Property Rights

    • The Software and all related intellectual property rights, including but not limited to trademarks, service marks, and logos, are the property of Company. This Agreement does not grant you any ownership interest in the Software or any rights other than those explicitly granted in this Agreement.

  4. Updates and Upgrades

    • Company may, from time to time, provide updates, upgrades, or new releases for the Software. Any such updates or upgrades shall be subject to the terms of this Agreement unless otherwise stated by Company.

  5. Privacy and Data Collection

    • Company may collect and use technical data and related information, including but not limited to technical information about your device, system, and application software, and peripherals, that is gathered periodically to facilitate the provision of software updates, product support, and other services to you.   6. Termination

    • This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from Company if you fail to comply with any terms of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies, full or partial, of the Software.

  7. Disclaimer of Warranties

    • THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

  8. Limitation of Liability

    • TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COMPANY OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, COMPANY'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE.

  9. Indemnification

    • You agree to indemnify, defend, and hold harmless Company, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Software or breach of this Agreement.

  10. Governing Law

    • This Agreement shall be governed by and construed in accordance with the laws of United Kingdom, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the courts located in United Kingdom to resolve any legal matter arising from this Agreement.

  11. Severability

    • If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

  12. Entire Agreement

    • This Agreement constitutes the entire agreement between you and Company regarding the use of the Software and supersedes all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter.

  13. Amendments

    • Company reserves the right to amend this Agreement at any time. Any amendments or modifications will be effective immediately upon posting the revised Agreement on our website or notifying you by other means. Your continued use of the Software following any such changes constitutes your acceptance of the new terms.
